1. Acceptance of Terms

By accessing or using LinxTime, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our service.

You must be at least 18 years old or have parental/guardian consent to use LinxTime. By using our service, you represent that you meet these requirements.

2. Description of Service

LinxTime is a group event coordination platform that helps you organize events with commitment-based confirmation. Our service includes:

Link Types

• POLL: Group voting on options with quorum-based confirmation. When enough people commit ("quorum met"), the event automatically confirms.
• SIGNUP: Registration for sessions with capacity limits and waitlists (e.g., classes, workshops, office hours).
• BOOKING: One-on-one scheduling based on your availability (similar to Calendly).

3. User Accounts

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Subscriptions & Payment

Plans

Billing

• Subscriptions are billed in advance on a monthly or annual basis via Stripe.
• Subscriptions automatically renew unless cancelled before the renewal date.
• You can cancel your subscription at any time. Access continues until the end of the current billing period.
• Refunds for annual plans are provided on a prorated basis within 30 days of purchase.

Free Trial

We offer a 14-day free trial of paid plans. No credit card is required to start a trial. After the trial ends, you will be moved to the Starter (Free) plan unless you subscribe.

5. Event Funding (Kickstarter-Style)

The Business plan includes Kickstarter-style event funding. This section explains how it works:

How Funding Works

1. Organizer Setup: Event organizers enable funding on their link and set a funding goal or per-person price.
2. Participant Pledge: When participants commit to an event, their payment card is authorized (a hold is placed), but not charged.
3. Event Confirms: When the event confirms (quorum and funding goals met), funds are captured and automatically transferred to the organizer's Stripe account.
4. Event Fails: If the event doesn't confirm, the authorization hold is released. No charge occurs.

Payment Processing

LinxTime uses Stripe Connect with "destination charges" and manual capture to process payments:

• Organizers must complete Stripe Express onboarding to receive payments.
• Payments go directly to the organizer's connected Stripe account.
• LinxTime retains a 5% platform fee on successful transactions.
• Organizers are responsible for their own tax obligations on funds received.

By using event funding features, organizers agree to Stripe's Connected Account Agreement.

Refunds

• Before capture: Authorization holds are automatically released when an event fails or is cancelled.
• After capture: Refunds for captured payments are at the organizer's discretion. LinxTime may facilitate refunds but is not responsible for organizer refund policies.

6. Prohibited Uses

You may not use LinxTime to:

• Violate any applicable law or regulation
• Infringe on intellectual property rights
• Harass, abuse, or harm others
• Send spam or unauthorized communications
• Conduct fraudulent activities or scams
• Circumvent payment systems or fees
• Interfere with or disrupt our services
• Attempt to gain unauthorized access to systems
• Collect user data without consent
• Create events for illegal activities

We reserve the right to investigate and take action against violations, including account suspension or termination.

7. Intellectual Property

LinxTime and its original content, features, and functionality are owned by LinxTime and protected by international copyright, trademark, and other intellectual property laws.

The LinxTime name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LinxTime. You may not use these marks without our prior written permission.

8. User Content

You retain ownership of content you create on LinxTime (event descriptions, images, etc.). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide our services.

You are responsible for ensuring your content:

• Does not violate any third-party rights
• Is accurate and not misleading
• Complies with these Terms and applicable laws

We may remove content that violates these Terms without notice.

9. Disclaimer & Limitation of Liability

Disclaimer

LinxTime is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not guarantee that:

• The service will be uninterrupted or error-free
• Defects will be corrected
• The service is free of viruses or harmful components
• Events will actually take place or be successful

Limitation of Liability

To the maximum extent permitted by law, LinxTime shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits, data, or business opportunities
• Event cancellations or no-shows
• Actions or disputes between users
• Third-party service failures (Stripe, Google, etc.)

Our total liability is limited to the greater of $100 USD or the fees you paid to LinxTime in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless LinxTime, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of LinxTime
• Your violation of these Terms
• Your violation of any third-party rights
• Your content posted on LinxTime
• Events you organize through LinxTime

11. Termination

By You: You may delete your account at any time through your account settings or by contacting us. Upon deletion, your data will be removed according to our Privacy Policy.

By Us: We may suspend or terminate your account immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended inactivity (12+ months)
• Any reason we deem necessary to protect LinxTime or other users

Upon termination, your right to use LinxTime ceases immediately. Provisions that by their nature should survive termination shall survive (including intellectual property, disclaimer, limitation of liability, and indemnification).

12. Disputes & Governing Law

These Terms are governed by the laws of Sweden, without regard to conflict of law principles.

Dispute Resolution

1. Informal Resolution: Before filing any claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
2. Jurisdiction: Any disputes not resolved informally shall be resolved exclusively in the courts of Sweden.

Time Limit

Any claim related to these Terms must be brought within one (1) year after the cause of action arises.

13. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top
• Notify you by email at least 30 days before changes take effect
• Display a notice in the application

Your continued use of LinxTime after changes take effect constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using LinxTime and close your account.
